For a free editor that will rotate clips, try Virtual Dub.  Can't help you
with the conversion software, though there is a lot of inexpensive stuff out
there.

There is a freeware program called "Super" that says it will do the
trick, but I tried it and my results were unsatisfying. Worth a try
however.

Convert to avi? What flavor AVI? Generic? Xvid, Divx, ect? For that
matter what kind of MP4? Ipod vids? Mov?, Xvid d/ls off bittorrent?

www.videohelp.com has lots of guides and tutorials for converting
between formats. Give Super a try.
